They are not physical goods that can be returned. Refund eligibility is therefore determined by the work already performed, Deliverables already provided, Project expenses already incurred, the terms of the applicable Project Agreement and applicable law.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Interpretation and Definitions<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\">Interpretation<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Words whose initial letters are capitalised have the meanings defined below. These definitions have the same meaning whether they appear in singular or plural form.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Definitions<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">For the purposes of this Cancellation and Refund Policy:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Company<\/strong>\u00a0means NICHOLAS IDOKO TECHNOLOGIES LIMITED, also referred to in this Policy as \u201cNicholas Idoko\u201d, \u201cthe Company\u201d, \u201cWe\u201d, \u201cUs\u201d or \u201cOur\u201d, with an address at 11 Barrister Omosanya Close, Ikereku, Laderin GRA.<\/li>\n\n\n\n<li><strong>Client<\/strong>\u00a0means the individual, business, organisation or other legal entity that requests, purchases, receives or pays for any of Our Services. The Client may also be referred to as \u201cYou\u201d or \u201cYour\u201d.<\/li>\n\n\n\n<li><strong>Services<\/strong>\u00a0means any professional service provided by the Company, including website design and development, web application development, Android and iOS application development, desktop application development, user interface and user experience design, custom software development, software consulting, system integration, application maintenance, software support, hosting assistance, technical configuration and related services.<\/li>\n\n\n\n<li><strong>Project<\/strong>\u00a0means the specific work or engagement for which the Client has requested or purchased Services from the Company.<\/li>\n\n\n\n<li><strong>Project Agreement<\/strong>\u00a0means any proposal, quotation, contract, statement of work, scope document, invoice, payment plan, milestone schedule, email agreement or other written document accepted by the Client in connection with a Project.<\/li>\n\n\n\n<li><strong>Deliverables<\/strong>\u00a0means the designs, documents, source code, compiled applications, databases, prototypes, configurations, reports, files, systems or other materials created or supplied as part of a Project.<\/li>\n\n\n\n<li><strong>Milestone<\/strong>\u00a0means a defined stage, phase, deliverable or portion of a Project for which work, payment, review or approval may be required.<\/li>\n\n\n\n<li><strong>Third-Party Costs<\/strong>\u00a0means expenses paid or committed to providers other than the Company, including domain registration, website hosting, cloud services, server services, SSL certificates, application programming interfaces, payment gateways, SMS services, email services, plugins, themes, stock assets, software licences, app-store accounts, developer accounts, verification services, subscriptions and similar expenses.<\/li>\n\n\n\n<li><strong>Business Day<\/strong>\u00a0means any day other than a Saturday, Sunday or public holiday observed in Nigeria.<\/li>\n\n\n\n<li><strong>Website<\/strong>\u00a0means Nicholas Idoko, accessible from\u00a0<a href=\"https:\/\/nicholasidoko.com\/\" target=\"_blank\" rel=\"noreferrer noopener\">https:\/\/nicholasidoko.com<\/a>.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Application of This Policy<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">This Policy applies to Services requested, purchased or arranged through the Website, email, telephone, video call, social media, messaging platform, physical meeting or any other communication channel used by the Company.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Every Project may have its own Project Agreement containing specific payment, cancellation, milestone, acceptance, support or refund terms. Where a specific Project Agreement conflicts with this general Policy, the Project Agreement will apply to that Project to the extent permitted by applicable law.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Nothing in this Policy or any Project Agreement is intended to remove or limit any right or remedy that cannot legally be excluded.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Nature of Our Services<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Most of Our Services are designed, configured or developed specifically for a Client. Project work may begin immediately after payment or after the Client provides the information, access, content, approval or other resources required to begin.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Work may include discovery, consultation, research, requirements analysis, technical planning, system architecture, database planning, project setup, design, programming, testing, integration, deployment and project management. These activities have value even where the Project has not yet reached final deployment.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For this reason, making an advance payment does not create an unrestricted right to receive a full refund after work has commenced.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">How to Cancel a Project<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">You may request the cancellation of a Project by sending a clear written request to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>By email:\u00a0<a href=\"mailto:office@nicholasidoko.com\">office@nicholasidoko.com<\/a><\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Your cancellation request should include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Your full name or business name;<\/li>\n\n\n\n<li>The Project name or description;<\/li>\n\n\n\n<li>The relevant invoice, receipt or transaction reference;<\/li>\n\n\n\n<li>The reason for the cancellation;<\/li>\n\n\n\n<li>The date on which You want work to stop; and<\/li>\n\n\n\n<li>Any information that may assist Us in reviewing the request.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">A cancellation request becomes effective when it is received by the Company, unless We agree to a different effective date in writing.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Cancellation Before Work Begins<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Where You cancel a Project before We have started work and before We have incurred or committed any Project-related cost, You may be entitled to a full refund.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where We have already reserved development capacity, performed preliminary administrative work or incurred a Third-Party Cost before receiving Your cancellation request, the refund may be reduced by:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Non-recoverable Third-Party Costs already paid or committed;<\/li>\n\n\n\n<li>Non-recoverable payment-processing or transaction charges;<\/li>\n\n\n\n<li>A reasonable reservation or cancellation charge expressly disclosed in the applicable Project Agreement; and<\/li>\n\n\n\n<li>The reasonable value of any Services already performed before the cancellation request was received.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Cancellation After Work Has Begun<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">You may request cancellation after work has begun. However, cancellation does not cancel Your obligation to pay for Services already performed, work already delivered, resources already committed or expenses already incurred.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Any refund after work has begun will ordinarily be limited to the unearned portion of the amount paid, after deducting:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The value of Services already performed;<\/li>\n\n\n\n<li>The value of completed or substantially completed Milestones;<\/li>\n\n\n\n<li>The value of Deliverables already supplied to You;<\/li>\n\n\n\n<li>Approved designs, prototypes, features or functionality;<\/li>\n\n\n\n<li>Project management, planning, meetings and consultation already provided;<\/li>\n\n\n\n<li>Non-recoverable Third-Party Costs;<\/li>\n\n\n\n<li>Reasonable cancellation and handover expenses;<\/li>\n\n\n\n<li>Taxes or statutory charges already remitted and not recoverable; and<\/li>\n\n\n\n<li>Payment-processing charges that cannot be recovered by the Company.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">If the value of the Services already performed and the expenses already incurred is equal to or greater than the amount You have paid, no refund will be due. If the value exceeds the amount paid, You may remain responsible for the outstanding balance.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">How the Value of Completed Work Is Calculated<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">For a fixed-price Project, the value of completed work will normally be determined using the Milestones, payment schedule, Deliverables or phase allocations contained in the Project Agreement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For an hourly, daily, weekly or retainer-based engagement, the value will normally be calculated using the time worked and the applicable rate stated in the Project Agreement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where the Project Agreement does not assign a separate value to each stage, the Company may assess the reasonable value of the work using:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The proportion of the agreed scope already completed;<\/li>\n\n\n\n<li>The time and technical resources used;<\/li>\n\n\n\n<li>The complexity of the work performed;<\/li>\n\n\n\n<li>The Deliverables supplied;<\/li>\n\n\n\n<li>The applicable professional rates; and<\/li>\n\n\n\n<li>Documented Project records.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">We will provide a reasonable explanation of the calculation when responding to a refund request.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Deposits and Advance Payments<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">A deposit or advance payment is applied towards the cost of the Project. Once work begins, the deposit may be applied to discovery, consultation, planning, design, development, project setup, project management, reserved development capacity and other Services already performed.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A deposit is therefore not automatically refundable after work has begun. However, any genuinely unearned portion will be assessed in accordance with this Policy, the applicable Project Agreement and applicable law.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A reservation fee that is separately identified in writing may be non-refundable where it reasonably compensates the Company for reserving time or declining other work, to the extent permitted by applicable law.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Milestone Payments and Approved Work<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Payments made for completed, delivered or approved Milestones are generally not refundable merely because the Client later changes direction, changes business plans, decides not to launch the software or requests a different design or feature.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Client is responsible for reviewing each Deliverable and communicating any material issue within the review period stated in the Project Agreement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where a Client approves a design, feature, prototype, document or Milestone and later requests a different direction, the additional work will normally be treated as a change request rather than a correction of the approved work.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This section does not prevent the Client from seeking an appropriate remedy where a Deliverable is materially defective, materially different from the agreed written scope or otherwise fails to meet a legal standard that cannot be excluded.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Subscription, Retainer and Maintenance Services<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Where Services are supplied under a monthly, quarterly, annual or other recurring arrangement, You may cancel future renewals by giving the notice required in the applicable Project Agreement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Fees for a billing period in which Services have already been performed, resources have already been reserved or support has already been made available are generally not refundable.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Any unused prepaid balance will be handled according to the applicable Project Agreement. Where the Project Agreement does not address unused balances, the balance will be assessed using the same principles that apply to cancellation after work has begun.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">When a Refund or Other Remedy May Be Available<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">A refund, partial refund, correction or other remedy may be available where:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The Company cancels the Project before providing the Services for which payment was made;<\/li>\n\n\n\n<li>The Company is unable to provide a material portion of the agreed Services for reasons primarily within the Company\u2019s control;<\/li>\n\n\n\n<li>A Deliverable materially fails to match the written and agreed scope, and the Company is unable or unwilling to correct the failure within a reasonable period;<\/li>\n\n\n\n<li>You were charged more than once for the same invoice or payment;<\/li>\n\n\n\n<li>You paid an incorrect amount and the overpayment can be verified;<\/li>\n\n\n\n<li>The Company received payment for a Service that was not rendered; or<\/li>\n\n\n\n<li>A refund or other remedy is required under applicable law.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Depending on the circumstances, the appropriate remedy may be correction, reperformance, replacement of a defective Deliverable, additional support, credit towards another Service, a partial refund or a full refund.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Opportunity to Investigate and Correct Problems<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Where You believe that a Deliverable is defective or does not comply with the agreed written scope, You should notify Us as soon as reasonably possible and provide sufficient details to reproduce, investigate or understand the issue.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where appropriate, the Company will be given a reasonable opportunity to investigate and correct the issue before a refund is required. This may include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Correcting a programming error;<\/li>\n\n\n\n<li>Repairing a broken feature;<\/li>\n\n\n\n<li>Reconfiguring an integration;<\/li>\n\n\n\n<li>Replacing a defective Deliverable;<\/li>\n\n\n\n<li>Repeating part of the Service; or<\/li>\n\n\n\n<li>Providing a reasonable alternative solution.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">A new requirement, new feature, redesign, change in business process or functionality that was not included in the agreed scope is not considered a defect in the original Deliverable.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where a Project Agreement expressly includes lifetime support for the delivered scope, that support means correction of defects in the code or functionality delivered by the Company within that agreed scope. It does not include new features, redesigns, new requirements, third-party platform changes, operating-system changes or modifications made by another person.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Nothing in this section delays or restricts a remedy that must be provided immediately under applicable law.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Amounts That Are Generally Not Refundable<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Subject to applicable law, the following amounts are generally not refundable once the relevant work has been performed or expense has been incurred:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Discovery, consultation and requirements-analysis fees;<\/li>\n\n\n\n<li>Research, technical planning and system-architecture fees;<\/li>\n\n\n\n<li>User-interface and user-experience design work already completed;<\/li>\n\n\n\n<li>Prototypes, wireframes and approved design concepts;<\/li>\n\n\n\n<li>Programming and development work already completed;<\/li>\n\n\n\n<li>Database design, server setup and technical configuration already completed;<\/li>\n\n\n\n<li>Testing, deployment and integration work already performed;<\/li>\n\n\n\n<li>Project management and meeting time already provided;<\/li>\n\n\n\n<li>Support, maintenance or consulting Services already provided;<\/li>\n\n\n\n<li>Rush or priority fees after priority work has begun;<\/li>\n\n\n\n<li>Change requests and additional work already performed;<\/li>\n\n\n\n<li>Non-recoverable Third-Party Costs;<\/li>\n\n\n\n<li>Non-recoverable payment-processing charges; and<\/li>\n\n\n\n<li>Taxes, levies or statutory charges already remitted and not recoverable.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Circumstances That Do Not Normally Qualify for a Refund<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Subject to applicable law and any failure by the Company to comply with the Project Agreement, a refund will not normally be granted solely because:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>You changed Your mind after work began;<\/li>\n\n\n\n<li>You decided not to launch, publish or use the completed software;<\/li>\n\n\n\n<li>Your business plan, management, partners, funding or priorities changed;<\/li>\n\n\n\n<li>You expected a feature, integration or result that was not included in the written scope;<\/li>\n\n\n\n<li>You requested a different design after approving the original design;<\/li>\n\n\n\n<li>You are dissatisfied for purely subjective reasons after the agreed revision process has been completed;<\/li>\n\n\n\n<li>The software did not generate a particular amount of revenue, traffic, downloads, customers, investment, search ranking or business growth that the Company did not expressly guarantee in writing;<\/li>\n\n\n\n<li>You failed to provide required content, access credentials, information, feedback, approvals or payments on time;<\/li>\n\n\n\n<li>A delay was caused by the Client, a Client representative or a third-party provider;<\/li>\n\n\n\n<li>A third-party platform, payment gateway, app store, hosting provider, API provider or regulator changed its rules, rejected an application or experienced an outage, unless the problem resulted from Our failure to comply with an agreed responsibility;<\/li>\n\n\n\n<li>The Deliverables were modified, damaged or misconfigured by the Client or another developer after delivery;<\/li>\n\n\n\n<li>The Client uses an unsupported device, browser, operating system, server or third-party service that was not included in the agreed scope; or<\/li>\n\n\n\n<li>The Client refuses a reasonable correction or solution offered by the Company.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Client Delays and Project Inactivity<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Project schedules depend on the Client providing required information, content, access, feedback, approvals and payments when requested.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where the Client does not respond or provide a required item for 30 consecutive days, the Company may pause the Project and reschedule the remaining work according to current availability.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where the Client remains inactive for 60 consecutive days after receiving written notice from the Company, the Company may treat the Project as cancelled by the Client.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Any refund following cancellation for Client inactivity will be calculated after deducting completed work, reserved resources, Third-Party Costs and other amounts permitted under this Policy.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If the Client later requests that the Project be reopened, the Company may require payment of any outstanding balance, a reactivation fee, updated Third-Party Costs or a revised quotation where the scope, technology, cost or availability has changed.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Third-Party Services and Expenses<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Some Projects require products or services supplied by third parties. These may include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Domain names and website hosting;<\/li>\n\n\n\n<li>Cloud servers and data storage;<\/li>\n\n\n\n<li>SSL certificates;<\/li>\n\n\n\n<li>Payment gateways and financial-service providers;<\/li>\n\n\n\n<li>Email, SMS and notification services;<\/li>\n\n\n\n<li>Identity-verification and KYC services;<\/li>\n\n\n\n<li>Maps, location and communication APIs;<\/li>\n\n\n\n<li>Plugins, themes, templates and stock assets;<\/li>\n\n\n\n<li>Apple, Google or other developer accounts;<\/li>\n\n\n\n<li>Application marketplace fees; and<\/li>\n\n\n\n<li>Software licences and subscriptions.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Third-Party Costs are governed by the refund and cancellation rules of the relevant third-party provider. Where a Third-Party Cost is non-refundable to the Company, it will ordinarily be non-refundable to the Client.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where the Company receives a refund from a third-party provider for an amount originally paid by the Client, the refundable amount will be passed to the Client after deducting any lawful, disclosed and non-recoverable charges.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">App Store and Third-Party Platform Approval<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Company cannot guarantee approval by the Apple App Store, Google Play Store, payment gateway, hosting provider, social media platform, government authority or any other independent third party unless such a guarantee is expressly included in the Project Agreement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A third party\u2019s rejection, suspension, restriction, policy change or delay does not automatically mean that the Company failed to provide the agreed Services.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">However, where a rejection results directly from a defect in Our Deliverable or from Our failure to meet a responsibility expressly included in the agreed scope, We will take reasonable steps to correct the relevant issue.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Submitting a Refund Request<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">To request a refund, send an email to&nbsp;<a href=\"mailto:office@nicholasidoko.com\">office@nicholasidoko.com<\/a>&nbsp;with the following information:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Your full name or registered business name;<\/li>\n\n\n\n<li>Your email address and telephone number;<\/li>\n\n\n\n<li>The Project name;<\/li>\n\n\n\n<li>The relevant invoice or receipt;<\/li>\n\n\n\n<li>The payment date and payment method;<\/li>\n\n\n\n<li>The amount requested;<\/li>\n\n\n\n<li>A clear explanation of the reason for the request; and<\/li>\n\n\n\n<li>Any supporting documents, screenshots or correspondence.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">You should submit a refund request as soon as reasonably possible after becoming aware of the issue.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Review of Refund Requests<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We aim to acknowledge a complete refund request within five Business Days.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We will review the applicable Project Agreement, payment records, Project communications, completed work, Deliverables, Third-Party Costs and the reason for the request.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We aim to communicate Our decision within 14 Business Days after receiving all information reasonably required to assess the request. Where an investigation is unusually complex, We will inform You of the reason for the delay and provide reasonable updates.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Our response may:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Approve a full refund;<\/li>\n\n\n\n<li>Approve a partial refund;<\/li>\n\n\n\n<li>Offer a correction or reperformance of the Service;<\/li>\n\n\n\n<li>Offer credit towards another agreed Service;<\/li>\n\n\n\n<li>Request further information; or<\/li>\n\n\n\n<li>Decline the request and explain the Services performed, expenses incurred or other reason for the decision.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Processing Approved Refunds<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Where a refund is approved, We will ordinarily initiate it within 14 Business Days after the refund decision, unless applicable law requires an earlier refund.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Refunds will normally be made through the original payment method where reasonably possible. Where the original payment method cannot be used, We may request verified bank or payment-account details.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The time required for an approved refund to appear in Your account may depend on Your bank, card provider, payment gateway or other financial institution.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Company is not responsible for exchange-rate differences, intermediary bank fees or third-party processing delays outside Our reasonable control, except where applicable law provides otherwise.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Effect of a Refund on Deliverables and Intellectual Property<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">A Client may use only those Deliverables for which the applicable fees have been fully paid, subject to the intellectual-property terms of the Project Agreement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where a full or partial refund includes payment previously allocated to a particular Deliverable, the Client may not use, publish, distribute, sell, modify or continue operating that refunded Deliverable unless the Company provides written permission.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where a Project is cancelled, the Company will provide any agreed handover materials relating to fully paid work after all outstanding amounts have been settled.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A refund does not automatically transfer ownership of source code, pre-existing software, development tools, reusable components, proprietary libraries or intellectual property that was not included in the agreed Deliverables.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Payment Disputes and Chargebacks<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">You are encouraged to contact Us before initiating a payment reversal or chargeback so that We have an opportunity to review and resolve the matter.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where a payment is disputed or reversed, the Company may suspend ongoing work, hosting, support, deployment or access connected to the disputed payment while the matter is investigated.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Nothing in this section prevents You from exercising any lawful right to dispute an unauthorised or improper transaction.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Our Right to Cancel a Project<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Company may cancel or suspend a Project where:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The Client fails to make an agreed payment;<\/li>\n\n\n\n<li>The Client fails to provide required information or cooperation;<\/li>\n\n\n\n<li>The Client requests unlawful, fraudulent or unethical functionality;<\/li>\n\n\n\n<li>The Client abuses, threatens or harasses Our staff or representatives;<\/li>\n\n\n\n<li>The Client materially breaches the Project Agreement;<\/li>\n\n\n\n<li>A legal or regulatory restriction prevents the Project from continuing;<\/li>\n\n\n\n<li>A serious security risk makes continued work unreasonable; or<\/li>\n\n\n\n<li>Performance becomes impossible for reasons outside Our reasonable control.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Where the Company cancels a Project because of the Client\u2019s breach, any refund will be calculated after deducting completed work, committed resources, Third-Party Costs and other lawful charges.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where the Company cancels a Project for reasons not caused by the Client, We will refund any amount paid for Services that were not performed, subject to applicable law.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Statutory Consumer Rights<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Nothing in this Policy excludes, restricts or waives any right, warranty, remedy or liability that cannot legally be excluded or restricted.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In particular, this Policy does not exclude liability for fraud, misrepresentation, negligence, defective performance, failure to provide paid Services or any other matter for which liability cannot lawfully be excluded.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where applicable law gives You rights that are more favourable than the terms of this Policy, the applicable law will prevail.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Governing Law<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">This Policy is governed by the laws of the Federal Republic of Nigeria, without depriving a Client of any mandatory consumer right that may apply in the Client\u2019s jurisdiction.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Changes to This Policy<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We may update this Cancellation and Refund Policy to reflect changes to Our Services, business practices or legal obligations.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The updated version will be published on the Website with a revised \u201cLast updated\u201d date.
